Terms of Service

These Terms of Service apply to your access to and use of the Wave Nightlife LLC mobile application, website, and related content, features, and services (collectively, the "Wave Platform") made available by Wave Nightlife LLC ("Wave," "we," "us," or "our").

In this Agreement, "User" or "you" means any person who accesses or uses the Wave Platform. This Agreement also incorporates Wave policies, procedures, and terms referenced within or made available through the Platform.

By accessing or using the Platform, or by clicking "accept" or "agree" where applicable, you agree to be bound by this Agreement and represent that you are of legal age and not prohibited from using the Platform under applicable law. This Agreement contains an arbitration clause and class action waiver.

We may update this Agreement from time to time. Continued use of the Platform after changes are posted indicates your acceptance of the updated Agreement.

Part I - Services and Access

Wave offers a nightlife planning and engagement platform for discovering, booking, and interacting with third-party venues, promoters, and nightlife experiences.

You may be required to register and maintain an account. You must provide accurate information, keep your login credentials confidential, and notify us of any unauthorized use or security breach.

You must be at least 18 years old and legally able to form a binding agreement to use the Platform.

Wave facilitates table reservations, VIP entry, ticketing, and promotional services. Availability is subject to third-party venues, and some services may require credit card authorization or prepayment.

User Conduct

You agree not to do any of the following:

• Violate applicable laws.
• Abuse or harass others.
• Engage in fraud or impersonation.
• Use bots, scrapers, or reverse engineering.
• Misuse Wave services for commercial purposes without authorization.

Part II - Transactions and Partner Interactions

Wave supports purchases including cover charges, table and bottle service, event reservations, priority access, and other premium features. All payments are final unless a refund is required by law.

Third-party venues are responsible for service delivery and compliance with applicable law. Venue policies also govern penalties for no-shows or late cancellations, and you agree to comply with requirements disclosed during booking.

Wave is not responsible for the conduct, pricing, or policies of promoters or venues. They are independent entities responsible for their own business practices, legal compliance, and representations.

Part III - Content, Rights, and Restrictions

You may submit content such as photos, messages, or reviews. By doing so, you grant Wave a non-exclusive, royalty-free, sublicensable right to use, distribute, and display that content, and you represent that you have the rights necessary to share it.

All rights, title, and interest in the Platform, including software, source code, databases, functionality, design, text, photos, graphics, logos, videos, and trademarks, are owned or licensed by Wave Nightlife LLC. No rights are granted to you except as expressly provided in this Agreement.

We welcome non-commercial sharing of publicly available content from the Platform, such as screenshots, promotional graphics, or videos, for social media promotion or personal recommendation, so long as it does not misrepresent Wave, violate law, or suggest a false affiliation or endorsement.

Prohibited Use and Commercial Restrictions

You agree not to do any of the following:

• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code from the Platform.
• Use the Platform or its features to create a competing product or service.
• Copy the Platform functionality, look and feel, user interface, or workflows.
• Circumvent, solicit, or engage directly with venues or promoters in a way that bypasses Wave systems or services.
• Replicate, emulate, or adapt the concept, structure, or business model of Wave for commercial or competitive purposes.
• Use the Platform or its content for advertising, resale, or monetization without prior written consent from Wave.

Beta Features and Feedback

Certain features or services may be offered in beta form and may change or be discontinued at any time. You acknowledge that beta features may not be stable or uninterrupted and may not remain available.

Any feedback or suggestions you submit may be used by Wave without compensation or obligation to you.

Part IV - Disclaimers and Legal Terms

The Platform is provided "as is." We do not guarantee uninterrupted or error-free service, and Wave disclaims all warranties to the fullest extent permitted by law.

To the maximum extent permitted by law, Wave is not liable for indirect, incidental, special, or consequential damages. Our maximum liability to any user is $100.

You agree to indemnify Wave against claims arising from your use of the Platform or violation of this Agreement.

We may suspend or terminate your access to the Platform at any time for any reason, and you may stop using the Platform at any time.

You may not access or use the Platform in violation of U.S. export laws, and you represent that you are not located in a restricted country or on a restricted list.

Part V - Disputes and Governing Law

Any disputes will be resolved through binding arbitration in Illinois. You waive the right to participate in any class or representative actions.

This Agreement is governed by Illinois law, excluding its conflict of law rules. You submit to jurisdiction in Cook County, Illinois, unless otherwise required by applicable law.

If any provision is found unenforceable, the remainder of the Agreement will remain in effect.

You may not transfer your rights under this Agreement without our prior written consent.
